2. PRICING

Our prices do not include VAT as we are not registered for VAT.

3. LICENSE

3.1 Our website grants you either a One Time Usage Licence or a Unique Purchase License for the web templates and other products (the “products”) sold through our website in accordance with these Terms and Conditions (the “license”) issued by our company, as follows:

(a) ONE TIME USAGE LICENSE

You are granted a One Time Usage License in the case of purchasing a website template at a Regular Price. It enables you to use each individual product on a single website only, belonging to either you or your client. You have to purchase the same template again if you are to use the same design in connection with another website or other projects.

b) UNIQUE PURCHASE LICENSE

You may be granted a Unique Purchase License in case of purchasing a website template at a Unique Price. This type of license guarantees that you are the last person to buy this template. After the buyout purchase occurs, the template is permanently removed from the Drupal Theme Machine sales directory and is never available to other customers again. You can not redistribute or resell website templates after purchase at a Unique Price.

3.2 You are permitted to print and download extracts from DrupalThemeMachine.com for your own use on the following basis:

(a) no documents or related graphics on this Website are modified in any way;

(b) no graphics on this Website are used separately from accompanying text; and

(c) any of our copyright and trade mark notices and this permission notice appear in all copies.

(d) excludes products where you are not granted a One Time Usage License or Unique Purchase License.

3.3 Unless otherwise stated, the copyright and other intellectual property rights in all material on this Website (including without limitation photographs and graphical images) are owned by us or our licensors. For the purposes of these terms and conditions, any use of extracts from this Website other than in accordance with clause 3.2 above for any purpose is prohibited. If you breach any of the terms in these terms and conditions, your permission to use this Website automatically terminates and you must immediately destroy any downloaded or printed extracts from this Website.

3.4 Subject to clause 3.1, no part of this Website may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without our prior written permission.

3.5 Any rights not expressly granted in these terms are reserved.

4. IMAGERY, ICONS AND FONTS

All imagery, icons and fonts used in our products are royalty-free and are the integral part of our products. One Time Usage License give you the right to use images, icons and fonts only as a part of the website you build using your template. You can use imagery, icons and fonts to develop one project only. Any kind of separate usage or distribution is strictly prohibited. All images and illustrations used in templates come in a single layer, as is.

5. MODIFICATIONS

You are authorized to make necessary modification(s) to our products to fit your purposes in accordance with the One Time Usage Licence and the Unique Purchase License.

6. UNAUTHORIZED USE

Subject to clause 3.1, you shall not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium. You also shall not offer them for redistribution or resale of any kind without prior written consent from our company.

7. ASSIGNABILITY

You shall not sub-license, assign, or transfer any product, imagery, icons or fonts to any entity without prior written consent from our company.

8. REGISTRATION

8.1 To register with DrupalThemeMachine.com you must be over fourteen years of age.

8.2 Each registration is for a single user only. We do not permit you to share your username or password with any other person nor with multiple users on a network.

8.3 Responsibility for the security of any passwords issued rests with you and if you know or suspect that someone else knows your password, you should contact us immediately and change your password through your ‘My Account’ page.

8.4 We may suspend or cancel your registration immediately at our reasonable discretion or if you breach any of your obligations under these terms and conditions.

9. OUR REFUND POLICY

Since DrupalThemeMachine.com is offering non-tangible, irrevocable goods we do not issue refunds after the product is shipped, which you acknowledge prior to purchasing any product at our site. We only make exceptions with this rule when the product appears to be not-as-described on a case by case basis at our sole discretion. The deadline for any refund claim is two weeks after the delivery date. The refund is issued to you after we receive a Waiver of Copyright signed by you. This is a required condition.

10. OWNERSHIP

You do not claim intellectual property right or exclusive ownership to any of our products, modified or unmodified. Our products are provided "as is" without warranty of any kind, either expressed or implied. In no event shall our company or its agents be liable for any damages including, but not limited to, direct, indirect, special, punitive, incidental or consequential, or other losses arising out of the use of or inability to use our products.

11. INSTALLATIONS

We do not install any of our products. Installation is a paid service which is not included in the package price.

12. ANTIFRAUD CHECK

Customer purchase can be suspended for manual antifraud check. Antifraud check occurs because of growing number of fraud transactions from persons who are not actual cardholders of the credit cards used during purchase.

13. THIRD-PARTIES SERVICES

DrupalThemeMachine.com may use third parties to provide certain services accessible through the website including, but not limited to, Google AdSence and Google Analytics. DrupalThemeMachine.com does not control these third parties or their services, and you agree that our company will not be liable to you in any way for your use of such services. These third parties may have their own terms of use and other policies. You agree to comply with such terms and policies as well as these. If any such terms or policies conflict with DrupalThemeMachine.com’s terms, agreements or policies, you must comply with those of DrupalThemeMachine.com.

14. GOVERNING LAW AND JURISDICTION

14.1 These terms and conditions shall be governed by and construed in accordance with English law. Disputes arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the English courts.

14.2 The parties specifically disclaim the U.N. Convention on Contracts for the International Sale of Goods.

14.3 We do not warrant that the products for sale on the Website are appropriate or available for use outside the United Kingdom. It is prohibited to access the Website from territories where its contents are illegal or unlawful. If you access this Website from locations outside the United Kingdom, you do so at your own risk and you are responsible for compliance with local laws.

15. INFORMATION DISCLOSURE

15.1 You may not disclose any order information including, but not limited to, Order Number, download link, etc.

15.2 You may not assign, sub-license or otherwise transfer any of your rights under these terms and conditions.

15.3 If any provision of these terms and conditions is found by any court of competent jurisdiction to be invalid, the invalidity of that provision will not affect the validity of the remaining provisions which shall continue to have full force and effect.

15.5 Only the parties to these terms and conditions may seek to enforce them under the Contracts (Rights of Third Parties) Act 1999.
